This User Agreement (the "Agreement") is a binding contract between you ("User", "you", or "your") and WikiPay ("WikiPay", "we", "us" or "our"). It governs your access to and use of our website, mobile application, digital wallet, virtual credit cards, and any related services (collectively, the "Services"). By registering for or using the Services, you agree to be bound by this Agreement and by our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
- You must be at least 18 years old and have full legal capacity to enter into this Agreement.
- You must not be a resident of, or located in, a jurisdiction where the Services are restricted by applicable law.
- You must not appear on any sanctions list maintained by the United Nations, the European Union, the United States, the United Kingdom, or any other authority whose lists we screen against.
- Business users must be duly incorporated and act through an authorised representative.
2. Your Account
2.1 Registration and Verification
You must provide accurate, current, and complete information when opening an account and keep it up to date. As part of onboarding and periodically thereafter, you agree to complete our Know-Your-Customer (KYC), Anti-Money-Laundering (AML), and enhanced-due-diligence procedures. We may refuse, suspend or close an account if we are unable to verify your identity or if we suspect any breach of this Agreement or of applicable law.
2.2 Security
You are responsible for safeguarding your login credentials, PINs, biometric data, and any devices used to access the Services. You must notify WikiPay immediately at support@wikipay.co if you suspect unauthorised access. Except where prohibited by law, you are responsible for all activity on your account until you have provided such notice and we have had a reasonable opportunity to act.
3. Digital Wallet Services
3.1 Nature of the Wallet
Your WikiPay wallet is an electronic-money account that stores a monetary balance corresponding to funds you have loaded. Balances do not accrue interest and are not bank deposits. Funds are held by our licensed banking partners in segregated, safeguarded accounts in accordance with applicable law.
3.2 Loading Funds
You may fund your wallet using supported methods, which may include bank transfer, debit card, or other channels made available in your region. Load limits, processing times, and fees may apply and will be disclosed prior to each transaction.
3.3 Sending, Receiving and Withdrawing
You may send funds to other WikiPay users and to external accounts that we support. You may withdraw available balances to an eligible bank account or card in your name. You are responsible for the accuracy of any recipient details; WikiPay is not liable for losses caused by incorrect information you provide.
3.4 Currency Conversion
Where currency conversion is required, the applicable exchange rate and any conversion fee will be shown before you confirm the transaction. Rates change constantly and are not guaranteed until the transaction is executed.
4. Virtual Credit Card Services
4.1 Issuance
WikiPay virtual cards are prepaid or credit-line-backed payment credentials issued in partnership with regulated card issuers on the Visa or Mastercard networks. You may create single-use, merchant-locked, or reusable cards subject to product availability and issuer approval.
4.2 Card Use
- Cards may only be used by the individual to whom they are issued and only for lawful purposes.
- Available card balances or credit lines are determined by your funded wallet balance, credit profile, and applicable limits.
- You must not attempt to circumvent card controls, use cards for prohibited categories, or share card details with unauthorised parties.
- Certain merchants may impose their own restrictions; disputes with merchants must be raised first with the merchant, then via our support channels if unresolved.
4.3 Chargebacks and Disputes
You may dispute a card transaction under the rules of the applicable card network. Disputes must be raised within the time limits communicated in-app. We may reverse a provisional credit if the dispute is later resolved against you.
4.4 Card Termination
You may freeze or delete a virtual card at any time. WikiPay and its issuing partners may also suspend or terminate any card at their discretion for security, fraud, regulatory, or compliance reasons.
5. Fees
Applicable fees are set out in our in-product Fee Schedule and displayed to you before each transaction that carries a fee. We may amend the Fee Schedule with reasonable prior notice, except where an immediate change is required by law or by our banking or card-network partners.
6. Prohibited Activities
When using the Services, you agree not to:
- Breach any applicable law, regulation, or third-party right;
- Engage in money laundering, terrorism financing, sanctions evasion, tax evasion, or fraud;
- Use the Services for gambling, adult content, illegal goods or services, or any category prohibited by our Acceptable Use Policy;
- Provide false, misleading, or incomplete information, or impersonate any person;
- Attempt to gain unauthorised access to the Services, disrupt them, or introduce malware;
- Use automated means (bots, scrapers) to interact with the Services without our written consent;
- Resell, sublicense, or otherwise exploit the Services except as expressly permitted.
7. Suspension and Termination
We may suspend, restrict, or close your account or any specific Service at any time if we reasonably believe you have breached this Agreement, if required by law or by a regulator, or if we detect suspicious or high-risk activity. Where legally permissible, we will give you prior notice; where immediate action is required to protect the Services or third parties, we may act first and inform you afterwards. On termination, you may withdraw any remaining balance minus any amounts owed to WikiPay, subject to identity verification.
8. Intellectual Property
All intellectual property in and to the Services — including trademarks, logos, designs, software, and content — belongs to WikiPay or its licensors. Subject to your compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose.
9. Third-Party Services
The Services may integrate or interoperate with third-party services (for example, merchants, banking partners, or card networks). Your use of those third-party services is subject to their own terms and privacy policies. WikiPay is not responsible for third-party services except to the extent required by law.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". We do not warrant that the Services will be uninterrupted, error-free, secure, or free from third-party interference, or that any information provided through the Services is accurate or complete. WikiPay does not provide investment, tax, or legal advice.
11. Limitation of Liability
To the maximum extent permitted by law, WikiPay, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data, arising out of or in connection with the Services. Our aggregate liability to you for any claim arising out of or relating to this Agreement or the Services shall not exceed the total fees paid by you to WikiPay in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (US$100), whichever is greater. Nothing in this Agreement limits liability that cannot be limited by law.
12. Indemnity
You agree to indemnify and hold harmless WikiPay and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services in breach of this Agreement or any applicable law, (b) your infringement of any third-party right, or (c) content or information you submit to the Services.
13. Changes to the Agreement
We may amend this Agreement to reflect changes in the law, our Services, or our operating practices. Material changes will be notified through the Services or by email at least 30 days before they take effect, unless a shorter period is required by law, regulator, or urgent security considerations. Continued use of the Services after the effective date constitutes acceptance of the amended Agreement.
14. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the jurisdiction of WikiPay's principal place of business, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with this Agreement shall first be attempted to be resolved amicably. Failing that, disputes shall be finally settled by binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC), unless a mandatory local law grants you a non-waivable right to bring proceedings in your local courts.
15. Miscellaneous
- Assignment: You may not assign this Agreement without our prior written consent. We may assign it to any affiliate or successor.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
- No waiver: Failure to enforce any right or provision does not constitute a waiver.
- Entire agreement: This Agreement, together with the Privacy Policy and any product-specific terms, constitutes the entire agreement between you and WikiPay regarding the Services.
- Language: The English version of this Agreement is the definitive version.
